vendor terms and conditions

• Collection of City Tax: As a vendor at a Florida event you are responsible to collect and pay sales tax to the Florida Department of Revenue on any sales you make at the event. It is your responsibility to register and pay sales tax on any sales with the Florida Department of Revenue and not that of the event promoter.

• Weather: Weather can change quickly, and this is a rain or shine event. No refunds will be made due to weather conditions.

• Hours: Booth must be open and staffed in accordance with event Hours.

• Vendor and/or Sponsor Equipment Requirements: You are purchasing SPACE ONLY. Unless otherwise noted, you are responsible for providing tents, tables, chairs and weights (vendors may not use stakes to secure a tent).

• Vendor and/or Sponsor agrees to indemnify and hold harmless Potluck SRQ, LLC, its parents, subsidiaries, partners, sponsors, agents, employees and assigns from any and all claims, causes of action suits, damages, theft, injuries and losses to any person or goods arising out of relating to the Festival. Vendor agrees that this release shall be a full and final compromise and release of any claims, demands, actions, and causes of action, known or unknown. Potluck SRQ, LLC shall not be liable for any failure or delay in performance arising from causes beyond reasonable control, including, without limitation, COVID, weather, acts of God, fire, flood, terrorism, strikes, failure of suppliers or subcontractors to substantially meet its performance obligations under this Agreement. • Vendor will be solely responsible for any and all sales, use, or other taxes, fees, permits, and surcharges imposed by any federal, state, county, or municipality in connection with the fulfillment of the Vendor’s obligations under this Agreement and any other agreements.

• Vendor and/or Sponsor shall permit photographs and video recording of their booths, employees and agents. All photographs and video footage shall be the sole property of Potluck SRQ, LLC and may be exploited by us in any manner or media without obligation to the exhibitor.

If you are found to have had a negative interaction with law enforcement within (6 mos) of the event date, you will be removed as a vendor and your vendor fee will be forfeited.

***ANY VENDOR PARTICIPATING IN A POTLUCK EVENT IS OBLIGATED TO OPERATE BY FEDERAL AND FLORIDA STATE LAW. ANY VIOLATION OF THIS AGREEMENT OR FEDERAL/FLORIDA LAW HOLDS THE VENDOR SOLELY RESPONSIBLE.***

Potluck Productions website (“content & intellectual property”) is protected by copyright under U.S. Copyright laws and is the property of Potluck SRQ LLC d.b.a. Potluck Productions or the party credited as the provider of the content. You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works, transmit, or in any way exploit any such content, nor may you distribute any part of this content or intellectual property on any network, including a local area network, sell or offer it for sale, or use such content to construct any kind of database. You may not alter or remove any copyright or other notice from copies of the content on Potluck SRQ LLC d.b.a. Potluck Productions' website. Copying or storing any content except as provided above is expressly prohibited without prior written permission of Potluck SRQ LLC d.b.a.
